Licensing & General Terms
DIGITAL PRODUCT LICENSE AGREEMENT
This License Agreement ("Agreement") is entered into by and between the individual
or entity downloading, purchasing, or using the digital products ("Licensee") and the product provider ("Licensor") as of the date of download, access, or use ("Effective Date").
By downloading, accessing, or otherwise using the products
provided by Licensor, Licensee acknowledges that they have
read, understood, and agreed to be bound by the terms of this
Agreement.
1. Definitions
"Samples" refers to individual audio files intended for use in
music production, including but not limited to drum hits,
melodic one-shots, and instrument recordings.
"Presets" refers to
pre-configured settings for software synthesizers, such as
Xfer Serum 2 version 2.0.16 and above.
"Project Files" refers to complete digital audio workstation (DAW) project files, including but not limited to projects for
Ableton Live 12+.
2. Ownership and Copyright
All rights, title, and interest in the Products remain the exclusive property of Licensor. Licensee receives a limited,
non-exclusive, non-transferable license to use the Products in accordance with this Agreement. Any unauthorized use may result in license termination and legal action.
3. License Grant and Restrictions
a. Samples
The Samples are provided royalty-free for use in Licensee’s original music productions, including commercial releases.
Licensee may not:
Redistribute, resell, or sublicense the Samples as part of any sample pack, sound library, or similar product.
Use the Samples in isolation for resale or redistribution.
b. Presets
The Presets are royalty-free and may be used in the creation of original musical works.
Licensee may not:
Resell, share, or otherwise distribute the Presets as part of a sound bank, pack, or digital product.
Decompile or reverse-engineer Presets for the purpose of redistribution.
c. Project Files
Project Files are provided strictly for educational and non-commercial use.
Licensee may not:
Use Project Files or any substantial part thereof in a commercial release.
Distribute, sell, or publicly share the Project Files, in whole or in part, whether in original or modified form.
4. Disclaimer and Limitation of Liability
Licensee acknowledges that the Products are provided “as is” without warranty of any kind. Licensor shall not be liable for any loss, damage, or injury resulting from use of the Products, including hardware or software malfunctions or health issues such as hearing damage from prolonged exposure to high volume levels.
5. Governing Law
This Agreement shall be governed by and interpreted in accordance with the laws of the jurisdiction in which the Licensee resides or in which the Products were accessed or downloaded, without regard to its conflict of law principles.
6. Entire Agreement
This Agreement represents the entire understanding between Licensee and Licensor with respect to the Products and supersedes all prior or contemporaneous communications and proposals, whether oral or written.
By downloading or using the Products, the Licensee agrees to the above terms.
